This Agreement is entered into between Brandable and Everything Smart ("Client") via Win Media Ltd. effective 4 May 2026.
1. Scope of Work
Brandable agrees to design and develop an eCommerce Website.
This includes:
Website design and layout
Website development
Product or service integration
Payment or booking functionality setup
Mobile responsiveness
Basic SEO setup
Domain connection
Launch support
This website is designed to support conversions, purchases, or bookings.
2. Fees and Payment
The total project fee is $100,000.
A non-refundable deposit of 50% of the total project fee is required to begin
The remaining balance is due prior to final launch
Final website files and full access will not be released until full payment is received.
3. Third-Party Costs
The project fee does not include:
Domain purchase
Hosting services
Any third-party tools, plugins, or subscriptions
These are the sole responsibility of the Client.
4. Client Responsibilities
The Client agrees to provide:
All required content, images, and brand assets
Timely feedback and approvals
Delays in communication or content delivery may impact timelines.
5. Revisions
Revisions are to remain within the agreed scope
Revisions must align with the original direction
Additional revisions or scope changes may incur additional fees
6. Timeline
Project timelines are estimates and depend on:
Client responsiveness
Scope changes
Content delivery
Brandable is not responsible for delays caused by the Client.
7. Client Review & Approval Responsibility
The Client is solely responsible for reviewing, proofreading, and approving all website content and functionality prior to launch.
Brandable shall not be held liable for:
Spelling or grammatical errors
Incorrect or outdated information provided by the Client
Functional or visual issues identified after approval
Approval constitutes full acceptance of the website.
8. Ownership and Usage
Upon full payment:
The Client owns the final website design and content
Brandable retains the right to showcase the project for portfolio and marketing purposes
9. Termination
Deposits are non-refundable
If the project is paused or terminated, work completed up to that point remains billable
